1. Acceptance of these terms

By accessing airevenueforge.tech, submitting a form, booking a call, purchasing a product, or otherwise engaging with our services, you ("you," "your," "Client") agree to these Terms of Service. If you do not agree, do not use our services.

If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity, and "you" will refer to both you personally and that entity.

2. What we offer

AI Revenue Forge provides: - AI Voice Receptionist Software (Pilot, Optimizer): custom-configured AI receptionist software for inbound business phone call handling, appointment scheduling, and FAQ automation, deployed on infrastructure including but not limited to Retell, Twilio, n8n, Anthropic, OpenAI, and Google Workspace - Agentic Software Stacks (C-Suite Agent Teams, Business in a Box): licensed software bundles including AI agents for marketing, operations, technical, and financial workflows - Educational Resources (courses, community, framework documentation): when launched, will be governed by additional terms specific to those products

Specific deliverables, timelines, and pricing for any individual engagement are governed by the Statement of Work (SOW) or product description on the corresponding checkout page, which together with these Terms forms the complete agreement.

3. Pricing and payment

• Pilot: $997 one-time, charged at purchase via Stripe
• Optimizer: $2,997 one-time setup + $797 per month recurring subscription
• Other tiers: as described on the corresponding product page or signed SOW
• Payment processor: Stripe. We never see or store full payment card details
• Currency: USD
• Taxes: prices exclude applicable sales tax; you are responsible for any taxes imposed by your jurisdiction
• Failed payments: for recurring subscriptions, we will attempt to re-charge for 14 days. After 14 days, service may be suspended until payment is current

4. Refunds

Refunds are governed by the Refund Policy. Key terms: - Pilot ($997): 30-day money-back guarantee per the criteria in the Refund Policy - Optimizer setup ($2,997): refundable for 14 days IF agent has not yet been deployed live - Optimizer subscription ($797/mo): cancel anytime; current month is non-refundable; no future charges

Filing a chargeback through your bank without first contacting support@airevenueforge.tech is a dispute, not a refund process, and may delay resolution.

5. What you agree to do

When using our services, you agree to: - Provide accurate information during onboarding (business name, hours, services, escalation rules) - Maintain ownership and control of any phone number you point to our AI agent - Not use our services for any illegal, fraudulent, abusive, or harassing purpose - Not use our services to send unsolicited marketing calls (telemarketing, robocalls, autodialed promotional calls) — our service is configured for INBOUND call handling only - Not attempt to reverse-engineer, copy, or resell our agent configurations except under an explicit white-label license - Comply with TCPA, HIPAA (where applicable), and any other laws governing communications and personal data in your jurisdiction - Promptly notify us of any breach, unauthorized access, or compliance concern

6. What we agree to do

We will: - Deliver the agreed-upon services per the timeline in your SOW or product description - Maintain reasonable commercial security practices for your data (see Privacy Policy) - Provide service-level commitments per the Refund Policy (uptime credit for Optimizer downtime > 24 hrs) - Notify you of material changes to these Terms with at least 14 days' notice for active clients - Honor any executed Business Associate Agreement (BAA) for HIPAA-covered engagements

7. Intellectual property

• Our IP: the AI agent configurations, prompts, workflows, software, course content, framework documentation, and brand assets are owned by AI Revenue Forge, Inc.. You receive a non-exclusive, non-transferable license to use them for your business as described in your purchase
• Your IP: content you provide during onboarding (your brand voice samples, FAQs, business information) remains yours. We may use it to configure your agent and may reference anonymized aggregate patterns (with no client identification) to improve our products
• Case studies: we will not name you in marketing case studies without your written permission

8. Disclaimers and limitation of liability

• Our services are provided "AS IS" and "AS AVAILABLE." We do not guarantee any specific business outcome (number of bookings, revenue, conversions, customer satisfaction)
• We do not guarantee 100% uptime; the Refund Policy describes service credits for measurable downtime
• AI-generated responses, while configured for your business, may occasionally produce unexpected output. You are responsible for periodic review of agent transcripts during your engagement
• TO THE MAXIMUM EXTENT PERMITTED BY LAW, our total liability for any claim arising from your use of our services is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, consequential, incidental, special, or punitive damages

Some jurisdictions do not allow limitation of liability for certain damages; in those cases the limitation applies to the maximum extent permitted.

9. Termination

• By you: cancel anytime per the Refund Policy. For Optimizer, the current billing cycle is non-refundable; for Pilot, refer to the 30-day guarantee criteria
• By us: we may suspend or terminate your access immediately if you breach these Terms (especially Section 5), use our services for illegal purposes, or for non-payment after the 14-day grace period. We will refund any pre-paid unearned amounts
• Upon termination: we will delete your operational data per the retention schedule in the Privacy Policy and any applicable BAA. Your data export options are described in the Refund Policy (Section "Compliance & Cancellation Notes")

10. Indemnification

You agree to indemnify and hold harmless AI Revenue Forge, Inc., its officers, contractors, and affiliates from any claim arising out of (a) your breach of these Terms, (b) your use of our services in violation of law, or (c) content or business information you provided during onboarding.

We agree to indemnify you against any third-party claim that our services as delivered infringe their intellectual property, provided you notify us promptly and let us control the defense.

11. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-laws principles.

Any dispute will be resolved by binding arbitration in Charlotte, NC under the Commercial Arbitration Rules of the American Arbitration Association, EXCEPT that either party may seek injunctive relief in court for IP infringement or breach of confidentiality.

You waive any right to participate in a class action against us.

12. SMS / Text Messaging Terms

By providing your mobile phone number and consenting to receive SMS / text messages from AI Revenue Forge, Inc. ("ARF") or any business operated through the ARF AI Receptionist platform, you agree to the following SMS-specific terms:

12.1 SMS service description

ARF and its small-business clients (operating across HVAC, dental, medical, MedSpa, real estate, home healthcare, credit repair, and pawn-shop verticals) send transactional SMS messages including: appointment reminders and confirmations, customer-service responses to inbound inquiries, booking follow-up, and lead-nurture messages to prospects who have opted in.

12.2 Opt-in (consent to receive SMS)

You have agreed to receive SMS through one of three documented mechanisms:

• Double-opt-in web form at airevenueforge.tech/sms-optin/ — you entered your mobile number, checked an explicit SMS-consent checkbox, then confirmed via a reply-YES confirmation SMS
• Voice-recorded consent during an inbound phone call to one of our AI Receptionist client lines, where you verbally agreed to receive SMS
• Customer-initiated text-in where you texted an opt-in keyword (e.g., JOIN, SCHEDULE, INFO, YES) to an ARF business SMS number

12.3 Message frequency

Message frequency varies based on your interactions with the business (typically 1-8 messages per month per active engagement). Frequency may increase around appointments, follow-up windows, or seasonal campaigns.

12.4 Message and data rates

Msg & data rates may apply. Standard messaging rates from your wireless carrier apply to all messages sent or received. ARF does not charge for the messages themselves.

12.5 Opt-out / unsubscribe

You can opt out of SMS at any time by replying with any of the following keywords to any message you receive: STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE, OPTOUT. After opting out, you will receive one final confirmation message and no further marketing or transactional SMS from that number. To resubscribe, reply START.

12.6 HELP / support

Reply HELP or INFO to any message to receive contact information for the originating business. You can also email support@airevenueforge.tech for assistance.

12.7 Supported carriers

SMS is delivered through major U.S. mobile carriers (AT&T, T-Mobile, Verizon, and U.S. regional carriers). Carriers are not liable for delayed or undelivered messages.

12.8 Data handling for SMS opt-in / phone numbers

We do not sell, rent, share, or otherwise transfer mobile phone numbers or SMS opt-in consent data to any third party for marketing purposes. Phone numbers collected through SMS opt-in are used solely to deliver the SMS messages you consented to, and are stored and protected in accordance with the Privacy Policy. SMS data is not shared with affiliates or third-party advertisers under any circumstances.

12.9 Acceptable use

Our SMS programs do not engage in promotional bulk messaging in restricted categories (no SHAFT — Sex, Hate, Alcohol, Firearms, Tobacco — content, no gambling, no prescription drug marketing, no debt collection, no cryptocurrency promotion).

13. Miscellaneous

• Entire agreement: these Terms + the Privacy Policy + the Refund Policy + your purchased product's SOW or description = the complete agreement between us
• Severability: if any provision is found unenforceable, the rest remains in effect
• No waiver: our failure to enforce any provision is not a waiver of the right to enforce it later
• Assignment: you may not assign these Terms without our written consent. We may assign to a successor in a merger, acquisition, or sale
• Updates: we may update these Terms with at least 14 days' notice to active clients
